With over five million control devices in the field, Comverge is the premier provider of innovative energy intelligence solutions. Comverge raised $13 million in its series A preferred private equity financing led by Nth Power and included E.ON Venture Partners GmbH, an affiliate of E.ON AG (NYSE: EON), EnerTech Capital, Shell Internet Ventures, an affiliate of the Royal Dutch/Shell Group of Companies (NYSE: RD), Easton Hunt Capital Partners, L.P., and Data Systems & Software Inc. (NASDAQ: DSSI). Comverge has offices and research facilities located in Atlanta, Georgia; Florham Park, New Jersey; Newark, California; Pensacola, Florida; and Tel Aviv, Israel.

Comverge Technologies Group integrates Comverge's Maingate® two-way energy gateways and PowerCAMP™ software for residential and C&I automated meter reading, price-responsive demand programs, time-of-use billing, distributed generation monitoring, and theft/outage detection. Custom demand response solutions with the SuperSwitch™ (the industry's leading RF load control switch) and/or the SuperStat® (the industry's innovative line of programmable load control thermostats) enable direct and voluntary load control, respectively, via one-way RF signaling and two-way paging for set point and TOU-tier offset programming.

Comverge PowerCAMP™ Group enables web-based End-to-End Energy Intelligence™ software solutions. PowerCAMP software modules encompass the full-spectrum of energy intelligence applications, including: robust, packet-based real-time AMR Data Transport (PowerCAMP Metering module); Feeder/Load Analysis, Trending and Visualization (PowerCAMP Analysis module); Direct Load Control, Management and Scheduling (PowerCAMP Control module); Price-response Demand (PowerCAMP Pricing module); and Remote Asset Monitoring, Analysis and Diagnostics (PowerCAMP Monitoring module). The core PowerCAMP Server software module provides a virtual SCADA capability built upon a scalable database architecture with core components for web security, account administration, provisioning, and packet-based messaging.

Comverge's Enterprises Group establishes new businesses for own and operated Virtual Peaking Capacity™ systems (i.e., sales of load reduction capacity), joint ventures, acquisitions, and other strategic alliances. Comverge Enterprises group has established Comverge as the leading provider of Virtual Peaking Capacity™ in the US---facilitating new electric capacity without the traditional concerns relating to permits, environmental impact, and other new plant construction issues. In addition, Comverge Enterprises Group offers the WebLookouts line of broadband remote home monitoring devices, for rich media home monitoring services to a utility's residential and commercial customers.

Franklin Fuel Cells, Inc.
FFC is an early stage development company that was established in 2001 to commercialize the break through direct oxidation solid oxide fuel cell (DO SOFC) technology invented at the University of Pennsylvania. Our proprietary copper-cermet anode-supported SOFCs have demonstrated stable performance on hydrocarbon fuels with no reformation and are expected to significantly reduce the fuel cell system's overall size and cost.

FFC's technology is anticipated to enable price-competitive solid oxide fuel cell products that will use today's fuel delivery systems (natural gas, gasoline, propane, etc) for advanced stationary and mobile power generators.

Ice Energy, LLC
Ice Energy manufactures an efficient, affordable, off-the-shelf Distributed Energy Storage module that saves money and reduces peak demand on the grid. The Ice Bear offsets the need for new peak power plants and transmission and virtually eliminates on-peak air conditioning electric demand by shifting energy consumption to lower priced off-peak hours. Our patented technology reduces the cooling portion of demand based electric bills by as much as 90% without requiring changes to behavior, obtaining environmental emissions permits, or installing new utility interconnections. In many applications, overall energy usage may be reduced, satisfying environmentally concerned commercial and residential consumers. Ice Energy customers use electricity off-peak, when electric demand and energy prices are low, to make ice using their HVAC's compressor, and release that stored energy to provide reliable air conditioning during the day. The Ice Bear is the first product to complement the high volume unitary (central or packaged) air conditioning market. Prototypes were benchmarked by the National Institute of Standards and Technology and field tested by the Electric Power Research Institute and National Rural Electric Cooperatives Association, under a grant by the US Department of Energy, Office of Innovations and Technology. Ice Energy is planning for volume manufacturing in the Q3 '04.

Designed to provide high power output and energy storage in a compact, self contained package, Pentadyne flywheels are a long lasting, low maintenance, lightweight, and environmentally sound alternative to conventional batteries.
Rentricity, Inc
Rentricity is a renewable energy company that will use its proprietary microturbines called Flow-to-Wiresm systems to transform untapped energy in various man-made processes into electricity. The surplus energy being targeted is contained in pipes where the materials moving inside them exert excess pressure. The initial application focus is microhydropower. The Flow-to-Wiresm systems will convert excess pressure in public water distribution mains into clean electric power. A single Flow-to-Wiresm system will produce between 20 and 300 KW. As the Company installs thousands of units worldwide, Rentricity will produce hundreds of megawatts in aggregate. Rentricity will give its generating partners an additional source of revenue. Also, integrated sensors will provide data that will enable water utilities to maximize efficiencies and help to safeguard the water supply against homeland security threats. R&D will be a priority - to advance the technology and make the devices capable of addressing hundreds of applications across many industries. Sizable opportunities might exist in natural gas pipelines, refrigeration systems, steam pipelines, and chemical refining facilities. Rentricity is partnered with a global engineering consultancy and two major water utilities. The Company expects to install its first several devices in the fall timeframe and commence large-scale rollout in early 2004.
